These Terms and Conditions (“Terms”) govern your access to and use of the services, applications, software, developer toolkits, marketplaces, content, APIs, SDKs, websites, and any other products or services provided by MotioNorth Oy (“MotioNorth”, “we”, “us”, “our”). By accessing or using any part of our services, you agree to be bound by these Terms.

1. Definitions

1.1 Services means all offerings provided by MotioNorth, including but not limited to software, developer toolkits (such as GymViz™ and related SDKs), the FanFit marketplace and any motion analysis or movement recognition technologies.

1.2 User Content means any data, content, text, video, code, or other material uploaded, submitted, stored, or otherwise provided by you through the Services.

1.3 Account means a user account registered with MotioNorth allowing you to access certain Services.

2. Access and Use

2.1 License: Subject to your compliance with these Terms, MotioNorth grants you a limited, non-exclusive, non-sublicensable, revocable license to use the Services for your internal business or personal purposes.

2.2 Restrictions: You will not (a) copy, modify, or create derivative works of the Services, (b) reverse engineer, decompile, or disassemble any MotioNorth software, (c) use the Services to develop competing products, or (d) remove, obscure, or alter any intellectual property notices.

2.3 Account: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and to keep your account information up to date.

3. User Content

3.1 Responsibility: You retain ownership of your User Content. However, by submitting User Content to MotioNorth, you grant MotioNorth a worldwide, royalty-free, transferable license to use, reproduce, distribute, adapt, publicly display, and otherwise exploit such content in connection with providing the Services.

3.2 Compliance: You represent and warrant that your User Content does not infringe any third-party rights and complies with applicable laws.

4. Payments and Subscriptions

4.1 Fees: Some Services may be offered for a fee. Fees are billed in advance and are non-refundable except as required by applicable law or as otherwise expressly stated.

4.2 Changes: MotioNorth may change pricing for its Services at any time, provided that such changes will not affect amounts already paid for the then-current billing period.

5. Intellectual Property

5.1 Ownership: All rights, title, and interest in and to the Services, including all MotioNorth trademarks, software, documentation, and content, are and will remain the exclusive property of MotioNorth or its licensors.

5.2 Feedback: If you provide suggestions, feedback, or recommendations regarding the Services, you grant MotioNorth a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Services.

6. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. The Privacy Policy is incorporated into these Terms by reference.

7. Warranties and Disclaimers

7.1 No Warranty: The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of accuracy, reliability, uninterrupted access, merchantability, or fitness for a particular purpose.

7.2 Third-Party Services: The Services may integrate with third-party products and services. MotioNorth is not responsible for the availability, performance, or content of such third-party offerings.

8. Limitation of Liability

To the maximum extent permitted by law, MotioNorth and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or other intangible losses arising from or related to your use of the Services, even if advised of the possibility of such damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless MotioNorth and its affiliates from and against any claims, liabilities, damages, losses, or expenses arising out of your use of the Services, your User Content, or your violation of these Terms.

10. Termination

MotioNorth may terminate or suspend your access to the Services at any time, with or without notice, for any reason, including your breach of these Terms. Upon termination, all rights granted to you will immediately cease.

11. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of Finland. Any dispute arising from or relating to these Terms shall be resolved exclusively by the courts of Finland.

12. Amendments

MotioNorth may modify these Terms at any time by posting revised terms on our website or within the Services. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
